Multi-line VRP or commercial agent: status, duties and real cost in France

Employment, independent mandate, commission and termination: what to check under French law before handing a territory to a sales rep.

Two people can visit the same pharmacies and represent several brands while holding different employment statuses. The multi-line VRP (voyageur représentant placier, a statutory salaried sales representative) is an employee; the commercial agent (agent commercial) works independently. For a brand, the choice shapes how the work is organised, how it is paid and how the relationship ends. Everything below describes the French framework.

A status is judged on how the work is actually carried out

VRP status rests on the criteria in Article L7311-3 of the French Labour Code (French): working exclusively and constantly as a representative for one or several employers, carrying out no commercial transactions on one’s own account, and commitments covering the products or services, the territory or the customers, and the pay. That exclusivity applies to the occupation itself, not to the number of employers. “Multi-line” means that the representative works for several employers.

A commercial agent is an independent agent permanently instructed to negotiate and, where applicable, to conclude contracts in the name and on behalf of the principal. The framework is set out in Articles L134-1 and following of the French Commercial Code (French). The title on the contract is not enough if the actual work matches another framework.

Describe the assignment before discussing the rate

List the accounts to open, the existing customers to look after, the ranges involved and the retail channels. Set out where training, merchandising and dispute handling fit in. These tasks take time even when they do not lead to an immediate order; who carries them has to be discussed.

With an agent, agree the information needed to follow the mandate while respecting their independence. With an employee, the employer takes on the obligations attached to the employment contract. The risk of reclassification is assessed on the facts, in particular whether there is a power to direct, supervise and sanction when employee status is claimed.

This sequence prepares the analysis. The title of the contract and the number of brands carried are not enough to determine the status.

Compare pay over the same scope

An agent’s pay is contractual, often in the form of commission; it is not necessarily entirely variable. Define the base it is calculated on, which orders count, how returns are treated and the rules on direct sales in the territory. The cost of a VRP includes their pay, social security contributions and the expenses borne by the employer under the applicable provisions.

Avoid a rate presented as “the market rate” without saying which sector and which assignment. A line with an established customer base does not demand the same effort as a launch with no listings yet. Travel expenses, samples and promotional activity also have to be allocated.

Make the commission statement checkable

For each order, keep the customer, the channel, the date, the base and the attribution rule. Attributing an account to a rep does not mean that the rep “owns” the pharmacy. It is a management rule, and it has to match the rights that were agreed.

Article R134-3 (French) requires a statement of the commission due to be provided no later than the last day of the month following the quarter in which it was earned. The statement must give the elements of the calculation; the agent can request the information needed to check the amount.

Budget for the end of the relationship from the start

A commercial agent is in principle entitled to a compensatory indemnity when the contract ends, subject to the statutory exceptions. The period for notifying the principal of the intention to claim that right is one year after termination. The amount depends on the loss suffered; “two years of commission” is not an automatic figure set by Article L134-12. For a VRP, termination falls under employment law and the applicable provisions. Article L7313-13 (French) provides, under its own conditions, for an indemnity linked to the customer base brought in, created or developed. The calculation, and whether indemnities can be combined, has to be examined case by case.

Check the registration without drawing the wrong conclusion

The agent must complete the registration formalities with the RSAC (registre spécial des agents commerciaux, the French register of commercial agents). Ask for proof and check the identity of the party you are contracting with. But the absence of registration does not, on its own, remove the benefit of the status or the right to an indemnity.

The Cour de cassation, France’s supreme court for civil matters, said so in a ruling of 7 July 2004, no. 02-17.107 (French), which concerned precisely a relationship for selling pharmaceutical products. A registration obligation has to be distinguished from the way the activity is actually characterised.

Preparing a mixed network

A brand can combine employees and agents. Before the launch, draw up a list of territories, reserved accounts and rules for orders received directly or online. Plan for a change of contact, the return of access rights and continuity of customer follow-up.
